The Commerce Commission has received an application from Mayborn Group Limited seeking clearance to acquire certain assets in the ownership of Jackel Pty Limited, including intellectual property rights to the Tommee Tippee brands and trademarks relating to New Zealand.

Mayborn is a UK-based manufacturer and distributor of baby and toddler feeding accessories. In New Zealand, Mayborn’s main brand of baby products, Closer to Nature, is distributed by Newborn Brands (NZ) Limited.

Jackel is an Australian-based, privately-owned distributor of baby and toddler feeding accessories. In New Zealand, Jackel supplies baby products under the Tommee Tippee and Happy Baby brands.

Background

When considering a proposed merger or acquisition, the Commission must decide whether the competition that is lost in a market when two businesses merge is substantial. We will give clearance to a proposed merger only if we are satisfied that the merger is unlikely to have the effect of substantially lessening competition in a market.
